/01Who these terms are between
These Terms govern access to and use of thenxc.com, operated by NEXORA COLLECTIVE INC. (“NXC”), an Ontario corporation with a business address at 2509–30 Roehampton Avenue, Toronto, Ontario, Canada.
By accessing or using this site, you agree to these Terms. If you use the site on behalf of a company or other organization, you confirm that you have authority to act for that organization.
If you do not agree to these Terms, do not use the site or submit information through it.
/02Using the site
You may use this site to learn about NXC and to make legitimate business inquiries. You must not:
- use the site for an unlawful, fraudulent or misleading purpose
- interfere with the site or another person’s use of it
- attempt to bypass security or access systems or information without authorization
- introduce malicious code or conduct disruptive automated activity
- impersonate another person or misrepresent your authority or affiliation
- collect site content or data at scale without written permission
/02 cont.Indexing
Reasonable indexing by standard search engines is permitted.
/03Site content and intellectual property
The site’s text, structure, layouts, photography, graphics, marks and other content are owned by NXC or used with permission.
You may link to publicly available pages on this site. A link must not suggest that NXC sponsors, endorses or is affiliated with you unless NXC has confirmed that relationship in writing.
Except where permitted by law, you may not reproduce, adapt, distribute, republish, sell or commercially exploit site content without prior written permission.
No use of this site grants a licence to use the NEXORA, NXC or other names, logos or marks displayed on it.
/04A submission is not an agreement
Submitting a brand, product or retail-partner inquiry starts a conversation only.
A submission, reply, meeting, sample review, product presentation or exchange of information does not by itself create:
- a contract
- an agency, brokerage or distribution appointment
- a partnership, joint venture or fiduciary relationship
- exclusivity or territorial rights
- a purchase, supply or placement commitment
- an obligation to continue discussions
/04 cont. What does create an engagement
NXC is not required to review, respond to, present, accept or proceed with a submission.
Only a separate written agreement expressly accepted by authorized representatives of the relevant parties creates a binding commercial engagement.
If that agreement conflicts with these Terms, the separate agreement controls for that engagement.
/05No outcome is promised
Nothing on this site guarantees:
- acceptance into an NXC program
- presentation to a retailer or channel partner
- retail placement or shelf space
- a sample test, purchase order or wholesale order
- a particular channel, territory, launch date or period
- exclusivity
- sell-through, revenue, reorder volume or commercial performance
/05 cont.Discretion is retained
The processes described on this site describe how NXC may work. They do not promise a result.
NXC, participating brands, retail partners and other counterparties each retain their own discretion and approval rights.
/06What you send us
You are responsible for the accuracy of information you submit and for having the authority and necessary rights to provide it.
Do not submit sensitive personal information, trade secrets or confidential material through the site unless an appropriate confidentiality agreement has already been signed.
Submitting information does not create a general duty of confidentiality and does not require NXC to use, evaluate or pay for unsolicited ideas.
You give NXC limited permission to review, internally share and use submitted materials only as reasonably necessary to assess and respond to the inquiry, unless a separate written agreement states otherwise.
Personal information submitted through the site is handled in accordance with the Privacy Policy.
/07Links and external services
The site may link to scheduling services, social-media profiles, partner websites or other services that NXC does not operate.
Those links are provided for convenience and do not automatically mean that NXC endorses or controls the linked service, its content or its practices.
Your use of an external service is governed by that service’s own terms and privacy policy. You follow external links at your own discretion.
/08Availability and liability
The site and its content are provided on an “as is” and “as available” basis. NXC does not promise that the site will always be available, uninterrupted, error-free, complete or current.
Information on this site is general business information and should not be treated as a binding commercial commitment.
To the maximum extent permitted by applicable law, NXC is not responsible for indirect, incidental, special, consequential or punitive loss arising solely from access to, reliance on or inability to use this site. This includes loss of profit, revenue, data, business opportunity or goodwill.
Nothing in these Terms excludes or limits responsibility that cannot lawfully be excluded or limited.
/08 cont.Changes and governing law
NXC may update, suspend, restrict or withdraw all or part of the site and may revise these Terms. The “Last updated” date identifies the latest published version.
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada. Subject to any law that requires otherwise, disputes relating solely to this site or these Terms will be brought before the courts located in Toronto, Ontario.
If one part of these Terms is found unenforceable, the remaining parts continue to apply. A failure to enforce a provision is not a waiver of it.
Questions about these Terms may be sent to partnership@thenxc.com with the subject line “TERMS OF USE.”
